I am now able to respond to your concerns regarding Trustee resignations from the Board.

I can confirm that to date, seven Trustees have resigned. Except for one, all have resigned because they cannot agree with and support the majority vote on a proposal to change our operation. This includes a staff restructure to address financial loss, increase efficiency and improve pay and conditions as per our professional diagnostic report.

We are foremost a Breed Society and Charity, but we are also a business and with that comes staffing and financial responsibility to ensure that we can sustain the longevity of the Welsh breeds and the Society we love so much.  Our accounts and expenditures are published for all to see; I’m sure all our members agree that financial stability is key to our beloved Society long term, and this is the reason why the Board has proposed these actions.

It was never going to be easy to Chair a split Council. Most of these resigning Trustees supported change in our operation, systems and flat staff structure but could not support a change in our management structure and that appears to be the key issue, but unprofessional confidential leaks of information from the Board have been contributory and extremely damaging by undermining and disrupting the process, making it far more difficult to implement these changes.

It is particularly disappointing that the two most recent resignations came unexpectedly after those Trustees had only just accepted key roles on the Board and this then took the number of Trustees to below 10.  This seems a concerted effort to undermine the Board’s decisions going forward.

Our Articles of Association provides specific contingency for this eventuality and allows us to co-opt member(s) to allow the Board to function when the number falls below 10. To this end Mrs Tracy Hook and Mrs Ann Bigley have been co-opted to serve on Council. I thank both ladies who have a wealth of knowledge and experience from their previous employments and whilst serving on WPCS Council in key positions in the past. Their pledge of help and support at this difficult time speaks volumes for their character, determination and dedication to the Society.

I can also confirm that the Company Secretary, Mr Meirion Davies, has also resigned. His resignation was not announced immediately in accordance with Meirion’s wishes, born out of respect to his new employers who had not publicly announced his new position and his wish to prevent the normal rumours and speculation that so badly impacts the Society. He is due to finish on the 9^thNovember 2023 and he will be recognised in due course.

The role of the Trustee can be difficult but also rewarding, I am encouraged by younger members that have offered support and contacted me over these resignations and that have indicated a willingness to consider Council now that many meetings can be attended online.

The remaining Board of Trustees stand together and continue to dedicate their time and commitment to the Society and are determined to work hard, supporting our staff to bring stability moving forward.

I have outlined all these issues in more detail in my Chair’s report in the Autumn Newsletter that is about to be published and I would ask that you read this and direct any questions to me or the office.  The cost to the Society from reputational damage from social media is huge, as we are trying to recruit new staff and attract more members, not scare them away.

Rwyf bellach yn gallu ymateb i’ch pryderon ynghylch ymddiswyddiadau ymddiriedolwyr gan y Bwrdd. Gallaf gadarnhau bod saith ymddiriedolwr wedi ymddiswyddo. Ac eithrio un, mae pob un wedi ymddiswyddo oherwydd na allant gytuno â’r bleidlais fwyafrifol a’i chefnogi ar gynnig i newid ein gweithrediad. Mae hyn yn cynnwys ailstrwythuro staff i fynd i’r afael â cholled ariannol, cynyddu effeithlonrwydd a gwella cyflog ac amodau yn unol â’n hadroddiad diagnostig proffesiynol.

Rydym yn bennaf yn Gymdeithas Bridiau ac yn Elusen, ond rydym hefyd yn fusnes a chyda hynny daw cyfrifoldeb staffio ac ariannol i sicrhau y gallwn gynnal hirhoedledd y bridiau Cymreig a’r Gymdeithas yr ydym yn ei charu gymaint. Cyhoeddir ein cyfrifon a’n gwariant i bawb eu gweld; rwy’n siŵr bod ein holl aelodau’n cytuno bod sefydlogrwydd ariannol yn allweddol i’n Cymdeithas annwyl yn y tymor hir, a dyma’r rheswm pam mae’r Bwrdd wedi cynnig y camau hyn. Ni fyddai byth yn hawdd cadeirio Cyngor hollt. Cefnogodd y rhan fwyaf o’r Ymddiriedolwyr sydd wedi ymddiswyddo y newid yn ein gwaith, ein systemau a’n strwythur staff gwastad ond ni allent gefnogi newid yn ein strwythur rheoli ac ymddengys mai dyna’r mater allweddol, ond mae gollyngiadau cyfrinachol amhroffesiynol o wybodaeth gan y Bwrdd wedi bod yn gyfrannol ac yn hynod niweidiol trwy danseilio ac amharu ar y broses, gan ei gwneud yn llawer anoddach gweithredu’r newidiadau hyn.

Mae’n arbennig o siomedig bod y ddau ymddiswyddiad diweddaraf wedi dod yn annisgwyl ar ôl i’r Ymddiriedolwyr hynny dderbyn rolau allweddol ar y Bwrdd ac yna aeth hyn â nifer yr Ymddiriedolwyr i lai na 10. Mae hyn yn ymddangos yn ymdrech ar y cyd i danseilio penderfyniadau’r Bwrdd wrth symud ymlaen.

Mae ein Herthyglau Cymdeithasu yn darparu arian wrth gefn penodol ar gyfer y posibilrwydd hwn ac yn caniatáu i ni gyfethol aelod(au) i ganiatáu i’r Bwrdd weithredu pan fydd y rhif yn is na 10. I’r perwyl hwn mae Mrs Tracy Hook a Mrs Ann Bigley wedi cael eu cyfethol i wasanaethu ar y Cyngor. Diolch i’r ddwy sydd â chyfoeth o wybodaeth a phrofiad o’u cyflogaethau blaenorol ac wrth wasanaethu ar Gyngor CMCC mewn swyddi allweddol yn y gorffennol. Mae eu haddewid o gymorth a chefnogaeth ar yr adeg anodd hon yn dweud cyfrolau am eu cymeriad, eu penderfyniad a’u hymroddiad i’r Gymdeithas.

Gallaf gadarnhau hefyd fod Ysgrifennydd y Cwmni, Mr Meirion Davies, wedi ymddiswyddo hefyd. Ni chyhoeddwyd ei ymddiswyddiad yn syth yn unol â dymuniadau Meirion, a anwyd allan o barch i’w gyflogwyr newydd nad oeddent wedi cyhoeddi ei rôl newydd yn gyhoeddus a’i ddymuniad i atal y sibrydion a’r dyfalu arferol sy’n cael effaith mor wael ar y Gymdeithas. Mae disgwyl iddo orffen ar y 9fed o Dachwedd, 2023 a bydd yn cael ei gydnabod maes o law.

Gall rôl yr Ymddiriedolwr fod yn anodd ond hefyd yn werth chweil, rwy’n cael fy nghalonogi gan aelodau iau sydd wedi cynnig cefnogaeth ac wedi cysylltu â mi dros yr ymddiswyddiadau hyn ac sydd wedi nodi parodrwydd i ystyried y Cyngor nawr y gellir mynychu llawer o gyfarfodydd ar-lein.

Mae’r Bwrdd Ymddiriedolwyr sy’n weddill yn sefyll gyda’i gilydd ac yn parhau i gysegru eu hamser a’u hymrwymiad i’r Gymdeithas ac maent yn benderfynol o weithio’n galed, gan gefnogi ein staff i ddod â sefydlogrwydd wrth symud ymlaen.

Rwyf wedi amlinellu’r holl faterion hyn yn fanylach yn  fy adroddiad Cadeirydd yng Nghylchlythyr yr Hydref sydd ar fin cael ei gyhoeddi a byddwn yn gofyn i chi ddarllen hwn a chyfeirio unrhyw gwestiynau ataf i neu’r swyddfa. Mae’r gost i’r Gymdeithas o ddifrod i enw da gan y cyfryngau cymdeithasol yn enfawr, gan ein bod yn ceisio recriwtio staff newydd a denu mwy o aelodau, nid eu dychryn i ffwrdd.
